Dispute Resolution

MemphisIncServices.com (“Company”, “Seller”) is committed to ensuring that disputes are handled in a fair, efficient, and transparent manner. This Dispute Resolution Policy provides a clear, structured process that is faster, more cost-effective, and more convenient than traditional litigation.

Goal of This Policy

To resolve disputes fairly for both the Customer (“Buyer”, “User”) and the Company, while protecting against unnecessary legal battles, misunderstandings, or prolonged disputes.

This policy consists of three key components:

  1. Internal Mediation – A fast and easy way to resolve issues before escalation.

  2. Binding Arbitration – A streamlined, final resolution process that eliminates delays and excessive costs.

  3. Confidentiality, Risk Disclosure & Limitation of Liability – Protects both parties and clarifies responsibilities.

1. Why This Policy Benefits You

  • Fast Resolution – Most disputes resolved within 14 days (vs. months/years in court).

  • Cost Savings – Arbitration is cheaper than litigation.

  • No Court Stress – Handled entirely online; no in-person appearances.

  • Fair Process – Ensures both parties are treated equitably.

2. Internal Mediation: The First Step

Before arbitration, customers must attempt Internal Mediation—a free, fast way to resolve concerns.

2.1. How Internal Mediation Works

  1. Submit a Request – Email [email protected] with dispute details.

  2. Quick Response – We’ll schedule a call (phone, WhatsApp, or Zoom).

  3. Resolution Attempt – Most issues resolved in one session; follow-ups scheduled if needed.

2.2. Why Mediation First?

  • ✅ Faster – Typically resolved in a single conversation.

  • ✅ Free – No costs to you.

  • ✅ Fair – Both parties must agree to the resolution.

3. Binding Arbitration

If mediation fails, all disputes must be resolved through binding arbitration, conducted online via written submissions only (no in-person hearings unless mutually agreed).

3.1. Arbitration Process

3.2. Key Arbitration Terms

  • Individual Claims Only – No class actions, mass arbitrations, or representative suits.

  • Costs Shared Equally – Unless the provider’s rules state otherwise.

  • Seller May Cover Fees – If Seller prevails, Buyer reimburses all arbitration costs.

  • Governed by Federal Arbitration Act – State law (if applicable) is Tennessee (no conflict-of-laws principles).

4. Confidentiality, Risk Disclosure & Limitation of Liability

  • Confidentiality – Buyer agrees not to disclose purchase terms without Seller’s written consent.

  • No Guaranteed Outcomes – Purchasing a corporate entity is a business investment with no guaranteed success.

  • No Credit Repair Services – Seller does not provide credit repair or credit score advice.

  • Liability Cap – Seller’s liability shall not exceed the total amount paid by Buyer.

  • Store Credit Default – If compensation is owed, it will be issued as store credit valid for 6 months (unless arbitration/law requires otherwise).

5. Final Thoughts: Why This Policy Protects You

This policy ensures a structured, transparent, and fair dispute resolution process, avoiding the unpredictability and high costs of litigation.
